Please read these Terms of Use ("Terms") carefully before using TX Vehicle Sale Kit ("the Tool"), offered by Dallas Web Pro ("we," "us," or "our"). By accessing or using the Tool, you agree to be bound by these Terms. If you do not agree, do not use the Tool.

1. Nature of the Tool

The Tool is a free, client-side document generator that assists users in preparing draft paperwork for private-party motor vehicle sales in the State of Texas. The Tool pre-fills official Texas Department of Motor Vehicles (TxDMV) forms and generates supplementary documents based on information you provide.

2. No Legal, Tax, or Professional Advice

The Tool does not provide legal advice, tax advice, financial advice, or any other form of professional advice. The documents generated by the Tool are drafts intended to assist you. They are not a substitute for consultation with a qualified attorney, accountant, tax professional, or other licensed advisor. You are solely responsible for verifying that all documents are accurate, complete, and compliant with applicable laws and regulations before using them in any transaction.

3. No Guarantee of Acceptance

We make no representation or warranty that any document generated by the Tool will be accepted by any county tax assessor-collector's office, the Texas Department of Motor Vehicles, or any other governmental agency or entity. Requirements may vary by county and may change at any time. You are solely responsible for verifying current requirements with the appropriate authorities.

4. Official Forms Disclaimer

The Tool includes reproductions of official TxDMV forms (including but not limited to Form 130-U and Form VTR-346). These forms are sourced from publicly available TxDMV resources and may be revised, updated, or discontinued by the State of Texas at any time without notice. We make no warranty that the versions included in the Tool are the most current versions. It is your responsibility to verify that you are using the most current version of any official form.

5. Accuracy of Information

You are solely responsible for the accuracy and completeness of all information you enter into the Tool. We do not verify, validate, or guarantee the accuracy of any information you input or any document the Tool generates based on that information.

THE TOOL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DALLAS WEB PRO, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

This limitation applies regardless of the legal theory on which the claim is based, including negligence, strict liability, breach of contract, breach of warranty, or any other theory, and regardless of whether we have been advised of the possibility of such damages.

8. Assumption of Risk

You expressly acknowledge and agree that your use of the Tool is at your sole risk. You assume full responsibility for any and all consequences arising from your use of the Tool and any documents generated by it, including but not limited to any legal, financial, regulatory, or tax consequences.

9. Indemnification

You agree to indemnify, defend, and hold harmless Dallas Web Pro, its owners, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Tool, any documents generated by the Tool, or your violation of these Terms.

10. No Attorney-Client or Professional Relationship

Your use of the Tool does not create an attorney-client relationship, accountant-client relationship, or any other professional relationship between you and Dallas Web Pro. We are not a law firm, accounting firm, or licensed professional services provider.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Collin County, Texas.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Dallas Web Pro regarding your use of the Tool and supersede any prior agreements.

14. Modification

We reserve the right to modify these Terms at any time. Changes will be reflected by updating the "Effective Date" at the top of this page. Your continued use of the Tool after any modifications constitutes acceptance of the updated Terms.
